5. Payment Terms

5.1 Pricing

Pricing for our services will be provided in writing and may vary based on project requirements. All prices are subject to change with reasonable notice.

5.2 Payment Schedule

Payment terms will be specified in the project agreement. Generally, payments are due as follows:

• 50% advance payment upon project commencement
• Remaining balance upon project completion
• Monthly payments for ongoing services

5.3 Late Payments

Late payments may result in suspension of services and additional charges. We reserve the right to charge interest on overdue amounts.

6. Intellectual Property

6.1 Ownership

Upon full payment, you will own the custom software, websites, and other deliverables created specifically for your project. However, we retain ownership of our proprietary tools, frameworks, and general methodologies.

6.2 License

We grant you a non-exclusive, non-transferable license to use any third-party components included in your project, subject to their respective license terms.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This obligation continues even after the termination of services.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional manner in accordance with industry standards. We will correct any defects in our work at no additional cost for a period of 30 days after delivery.

8.2 Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service.

9. Limitation of Liability

In no event shall Lotas Management be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or business interruption.

10. Indemnification

You agree to indemnify and hold harmless Lotas Management from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Termination

11.1 Termination by Client

You may terminate services at any time with written notice. You will be responsible for payment of all services rendered up to the termination date.

11.2 Termination by Company

We may terminate services immediately if you breach these terms or fail to make payments as agreed.

12. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

13. Governing Law

These terms shall be governed by the laws of India. Any disputes arising from this agreement shall be subject to the jurisdiction of the courts in Jaipur, Rajasthan.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified terms.

17. Entire Agreement
